Acceptable Use Policy (AUP) #

This Acceptable Use Policy (“Policy”) forms part of and is incorporated into the Terms of Service for Codsy (the “Platform”), operated by UAB Turnwize Global (“Company”, “we”, “our”, or “us”).

By creating an account or using the Platform, you (“User”, “you”, or “your”) acknowledge that you have read, understood, and agree to comply with this Policy. Violations may result in suspension, termination, content removal, or legal action.

1. Purpose #

The Platform provides an AI Agent and a virtual machine (“VM”) to assist in legitimate web application development, testing, and deployment. Use is restricted to lawful, ethical, and authorized activities related to software development.

Codsy is a SaaS platform that provides an AI Agent for software development, specifically web applications. The agent operates in its own cloud VM and shows its desktop to the user. You interact with the agent via chat (right side) while observing actions on the desktop (left side). Depending on the task, the agent can use a web browser, terminal, or IDE (VS Code or Cursor), review code it writes, and run it to show a preview. You may “Take Control” of the desktop or “Download” files from the agent’s workspace.

2. Prohibited Uses #

You must not use the Platform to engage in, promote, or facilitate any of the following:

A. Illegal or Unlawful Activities

Violate any local, national, or international law or regulation.
Develop, distribute, or host malicious code (e.g., viruses, worms, ransomware).
Attempt unauthorized access to systems, data, or other users’ VMs.
Circumvent or interfere with security, authentication, or usage limits.
Engage in hacking, phishing, fraud, or identity theft.
Create or distribute fake or deceptive applications.

B. Inappropriate or Unethical Use

Generate or share pornographic, sexually explicit, or obscene material.
Promote hate, violence, extremism, or discrimination.
Use abusive, harassing, or vulgar language.
Attempt to bypass moderation or policy enforcement.
Create or spread misinformation, deepfakes, or defamatory content.

C. Misuse of Resources

Mine cryptocurrency or perform unrelated computational workloads.
Run automated bots or scrapers not directly tied to your project.
Overload, disrupt, or degrade system performance.
Share, rent, or sell your account or VM access.
Misuse “Take Control” or “Download” features.

D. Intellectual Property Violations

Upload or use content you don’t own or have rights to.
Infringe on any copyright, trademark, patent, or trade secret.
Reverse engineer or clone proprietary software or services.

E. Restricted or Sensitive Data

Upload personal, financial, or medical data without proper authorization.
Handle government or classified data without compliance.
Use data obtained through unauthorized scraping or breaches.

3. User Conduct #

Communicate respectfully and professionally.
Keep login credentials secure.
Use the Platform only for intended development purposes.
Report bugs, vulnerabilities, or misuse to contact@codsy.ai.

4. Monitoring and Enforcement #

We may use automated and manual systems to:

Monitor user activity for compliance and security.
Suspend or terminate accounts involved in violations.
Remove or block inappropriate content.
Report illegal activity to authorities when required.

5. Security and Integrity #

Bypass usage limits or sandbox restrictions.
Modify or interfere with the AI Agent, IDE, browser, or terminal.
Access or control another user’s environment.
Upload or execute harmful code.

6. Enforcement Actions #

Temporary or permanent suspension.
Removal of data or content.
Notification to law enforcement.
Legal action or civil claims.

7. Reporting Violations #

Report suspected violations to contact@codsy.ai with relevant details (e.g., screenshots, logs, or chat excerpts).

8. Updates to This Policy #

We may update this Policy periodically. Updates take effect immediately upon posting. Continued use of the Platform constitutes acceptance of the revised Policy.

9. Governing Law #

This Policy is governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to conflict-of-law principles.

1. Introduction #

These Terms of Service (“Terms”) govern your access to and use of the Codsy platform, software, and related services (collectively, the “Platform”) provided by UAB Turnwize Global (legal entity type: UAB — Limited Liability Company; registration code: 305084884), a company incorporated under the laws of the Republic of Lithuania, registered office at Draugystės g. 13A, Kaunas, Lithuania (“Company”, “we”, “our”, or “us”).

By accessing, registering for, or using the Platform, you (“User”, “you”, or “your”) agree to be legally bound by these Terms, our Acceptable Use Policy (AUP), and our Privacy Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

2. Definitions #

“Platform”: The Codsy Development Agent / Public Agent SaaS product, including the virtual machine environment, AI Agent, browser, terminal, IDE, APIs, and any associated software, features, or content provided by the Company.
“AI Agent”: The interactive artificial intelligence component designed to assist users in web application development.
“User Content”: Code, text, data, files, or other materials uploaded, created, or stored by you within the Platform.
“Subscription”: A paid plan granting time-limited access to certain features or resources of the Platform.
“Workspace”: Your allocated virtual development environment (VM or cloud container) within the Platform.

3. Eligibility #

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Platform on behalf of an organization, you represent and warrant that you are authorized to bind that entity to these Terms.

4. Account Registration and Security #

4.1 Account Creation

You must register for an account to access the Platform. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4.2 Credentials

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. The Company shall not be liable for any unauthorized access resulting from your failure to safeguard credentials.

4.3 Security

You agree to promptly notify us at contact@codsy.ai of any suspected unauthorized access, misuse, or security breach involving your account or workspace.

5. Acceptable Use #

5.1 Your use of the Platform is subject to our Acceptable Use Policy (AUP), available at automation.codsy.ai/acceptable-use-policy. The AUP forms an integral part of these Terms.

5.2 Violation of the AUP may result in suspension, restriction, or termination of your access to the Platform without notice, and may also lead to legal action where appropriate.

6. Subscriptions, Payments, and Refunds #

6.1 Fees

Access to certain features of the Platform may require payment of subscription fees. Fees and billing terms are specified at the time of purchase and are subject to change with reasonable notice.

6.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually) unless canceled prior to renewal. You authorize us to automatically charge your selected payment method for recurring fees.

6.3 Cancellations and Refunds

You may cancel your subscription at any time. Unless otherwise required by law, prepaid fees are non-refundable. Refund requests will be evaluated on a case-by-case basis in accordance with EU consumer protection laws.

6.4 Taxes

All fees are exclusive of applicable taxes, which shall be your responsibility.

7. Intellectual Property #

7.1 Company Ownership

All intellectual property rights in the Platform, including but not limited to the AI Agent, software, design, user interface, and trademarks, remain the exclusive property of the Company or its licensors.

7.2 License to Use

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful software development purposes.

7.3 User Content

You retain ownership of your User Content. By uploading or storing content within the Platform, you grant the Company a limited, non-exclusive, worldwide, royalty-free license to store, host, and process such content solely for the purpose of providing the Platform’s services.

7.4 Restrictions

You shall not copy, modify, decompile, reverse engineer, or otherwise attempt to extract the source code of any part of the Platform.

8. Data and Privacy #

8.1 The collection and processing of personal data are governed by our Privacy Policy, available at automation.codsy.ai/privacy-policy.

8.2 By using the Platform, you consent to such processing in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR).

8.3 The Company does not claim ownership of your code or data but may temporarily store it within your virtual environment for operational continuity.

9. Monitoring and Enforcement #

9.1 We may monitor usage activity within the Platform (including terminal logs, chat interactions, and system commands) for compliance, maintenance, and security purposes.

9.2 We reserve the right to remove or disable access to any content that violates these Terms or applicable laws.

9.3 We may suspend or terminate your access immediately if we believe your actions pose a risk to the Platform or its users.

10. Service Availability and Modifications #

10.1 We strive to ensure continuous operation but do not guarantee uninterrupted or error-free access to the Platform.

10.2 We may update, modify, or discontinue features at any time with or without notice, provided that no modification materially diminishes subscribed services without reasonable notice.

10.3 Scheduled maintenance or system upgrades may temporarily limit access to the Platform.

11. Third-Party Services #

The Platform may integrate with or provide access to third-party software, APIs, or services. The Company is not responsible for such third parties, and your use of them is governed by their own terms and policies.

12. Disclaimers #

12.1 The Platform and all related services are provided “as is” and “as available”, without warranties of any kind, express or implied.

12.2 The Company does not guarantee that the AI Agent will produce accurate, complete, or error-free results. Users are responsible for reviewing all outputs and code generated.

12.3 We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability #

To the fullest extent permitted by law:

The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the Platform.
Our total cumulative liability for any claim related to these Terms or the Platform shall not exceed the total fees paid by you in the twelve (12) months preceding the incident.

14. Indemnification #

You agree to indemnify and hold harmless UAB Turnwize Global, its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Platform, your User Content, or your violation of these Terms or applicable laws.

15. Termination #

We may suspend or terminate your account at any time for violation of these Terms, the AUP, or applicable law. You may terminate your account by ceasing all use and deleting your data.

Upon termination, your right to access the Platform ceases immediately, and stored data may be deleted after a reasonable retention period.

16. Governing Law and Jurisdiction #

These Terms are governed by the laws of the Republic of Lithuania and applicable European Union regulations. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kaunas, Lithuania.

17. Changes to Terms #

We may amend these Terms from time to time. Updated versions will be posted on our website and will become effective immediately upon posting. Continued use of the Platform constitutes acceptance of the updated Terms.
